Item 1: Presentation of theexternal auditor's report of accumulated losses.

Item 2: Presentation of theBoard of Directors' report of the company's accumulated losses (QAR155,360,000) and the company's future plan, and consideration and approval ofthe company's continuation or dissolution prior to the end of its term asspecified in its Memorandum ofAssociation.                  

Item 3 Authorizing the Chairman ofthe Board of Directors (in his capacity) or his authorized representative tomake the required amendments accordance with the decisions of the GeneralAssembly (extraordinary)
